Agreement scope and customer agreements
These Terms govern public website visitors and users of the ConstructFlow SaaS platform unless a separate written agreement, order form, subscription agreement, data-processing agreement, security addendum, or negotiated customer contract applies. If separate written terms conflict with these Terms, the written customer agreement controls for the covered Services and customer account.
Accounts, authority, and responsibility
You are responsible for maintaining the confidentiality of login credentials, account access, project invitations, API keys if issued, and activities under your account. Customer administrators are responsible for user permissions, invited external participants, project access, workflow settings, and compliance with their own contractual and legal obligations.
- Do not share credentials or allow unauthorized access.
- Notify ConstructFlow promptly if you suspect unauthorized access, data exposure, or misuse.
- Use the Services only for lawful business and construction project purposes.
Multi-party project collaboration
ConstructFlow supports collaboration among internal teams, external stakeholders, reviewers, consultants, subcontractors, vendors, and other project participants. You acknowledge that project information may be routed, displayed, commented on, downloaded, exported, included in alerts, and otherwise made available according to project permissions, workflow rules, account settings, and customer instructions.
Customer content and license
Customers and users retain ownership of the documents, data, comments, workflow items, review packages, logs, forms, attachments, PDF files, project records, and other content they submit to the Services, subject to rights held by other parties. You grant ConstructFlow a limited license to host, store, copy, process, transmit, display, format, index, search, extract text from, generate previews of, create derivative workflow outputs from, and otherwise use customer content as needed to provide, secure, support, improve, and enforce the Services.
Your content obligations
You represent that you have all permissions, rights, consents, licenses, authorizations, and legal bases needed to submit, process, share, route, export, and store customer content through ConstructFlow. You are responsible for content accuracy, document classification, confidentiality markings, project restrictions, retention requirements, contract obligations, and the consequences of review actions taken by users in your workspace.
Acceptable use
You may not misuse the Services or use them in a way that harms ConstructFlow, other customers, users, vendors, infrastructure, or the public.
- Do not upload unlawful, infringing, malicious, deceptive, harmful, or unauthorized content.
- Do not attempt to bypass authentication, scrape non-public data, test security without written permission, overload systems, reverse engineer restricted components, or interfere with service operation.
- Do not use the Services to make false project records, impersonate others, conceal unauthorized changes, or evade contractual review obligations.
Construction workflow and professional judgment
ConstructFlow is a workflow, document management, search, and collaboration tool. ConstructFlow does not provide architecture, engineering, construction management, inspection, safety, code-compliance, procurement, scheduling, payment, surety, insurance, accounting, tax, or legal advice. You remain responsible for independent professional review, contract administration, project decisions, approvals, notices, deadlines, and compliance with applicable laws, codes, standards, contracts, and project requirements.
Search, OCR, AI, and automation limits
Search, OCR, extraction, summaries, vector retrieval, automated alerts, generated documents, routing, and AI-assisted features may be incomplete, delayed, inaccurate, or affected by source document quality, user configuration, permissions, metadata, or system limits. You must verify important outputs before relying on them. ConstructFlow is not responsible for decisions made solely from automated or AI-assisted output.
ConstructFlow intellectual property
The Services, website, software, interfaces, designs, workflows, documentation, templates, page layouts, branding, logos, code, search technology, and related content are owned by ConstructFlow or its licensors and are protected by intellectual property laws. Except as expressly allowed by these Terms or a written agreement, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or exploit the Services or ConstructFlow content.
Third-party services and integrations
The Services may rely on or link to third-party infrastructure, websites, applications, storage, analytics, security tools, payment processors, email systems, customer-controlled integrations, and other external services. ConstructFlow is not responsible for third-party websites or services that it does not control, and third-party terms or privacy policies may apply.
Changes, suspension, and termination
ConstructFlow may modify these Terms, update the Services, change features, suspend access, restrict use, or terminate access as permitted by law or applicable agreements. Continued use after updated Terms are posted or communicated means you accept the updated Terms. ConstructFlow may immediately suspend or restrict access to protect security, comply with law, prevent misuse, address nonpayment, or protect the Services and other users.
Privacy and confidentiality
Use of the Services is also governed by the ConstructFlow Privacy Policy and any applicable customer agreement. You must not submit confidential, regulated, export-controlled, classified, health, payment-card, or highly sensitive information unless your agreement and project configuration authorize that use. You are responsible for marking and controlling sensitive content within your workspace.
Disclaimer of warranties
To the maximum extent permitted by law, the Services and all website content, software, features, documents, outputs, search results, alerts, integrations, and information are provided on an "AS IS" and "AS AVAILABLE" basis. ConstructFlow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free operation, data accuracy, availability, security, and suitability for any project, contract, legal, professional, or regulatory purpose.
Limitation of liability
To the maximum extent permitted by law, ConstructFlow and its owners, officers, employees, contractors, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; lost profits; lost revenue; lost savings; business interruption; lost data; replacement services; project delay; bid impacts; construction defects; payment disputes; contract claims; or professional errors arising from or related to the Services, even if advised of the possibility of such damages. Any aggregate liability will be limited to the amount paid to ConstructFlow for the affected Services during the period allowed by the applicable agreement or law.
Indemnification
You agree to defend, indemnify, and hold harmless ConstructFlow and its owners, officers, employees, contractors, affiliates, suppliers, and licensors from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from your content, your use of the Services, your violation of these Terms, your violation of law, your project decisions, your professional obligations, your account permissions, or disputes between project participants.
Governing law and disputes
Unless a separate written agreement states otherwise, these Terms and disputes related to the Services are governed by applicable United States federal law and the laws of the state identified in the applicable customer agreement or order form, without regard to conflict-of-law rules. If no written agreement identifies a governing law or venue, disputes must be brought in a court with jurisdiction over ConstructFlow at its principal place of business, unless applicable law requires otherwise.
